Terms of Service

1. Overview
Memaday is a private family journaling service that lets you capture daily entries, photos, and videos. By creating an account or using Memaday, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use the service.
2. Eligibility
You must be at least 18 years old to create a Memaday account. By using Memaday, you represent that you meet this age requirement.
3. Your Account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current information when creating your account and to update it as needed.
If you believe your account has been compromised, contact us immediately at support@memaday.com.
4. The Service
Memaday grants you a limited, non-exclusive, non-transferable, revocable license to use the service for your personal, non-commercial purposes. We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice when possible.
5. Privacy
Your use of Memaday is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using Memaday, you consent to the practices described in the Privacy Policy.
6. User Content
You own your content. Journal entries, photos, videos, and other materials you create in Memaday remain your property.
By using the service, you grant Memaday a limited license to store, process, and display your content solely for the purpose of providing and improving the service. This license ends when the relevant content is deleted. If you delete your account while another household owner remains, the jointly owned household journal stays available to the remaining owner or owners, and this limited license continues only as needed to provide that shared content to them.
You agree not to upload content that:
- Is illegal, harmful, threatening, abusive, or harassing
- Infringes on the intellectual property rights of others
- Contains malware or harmful code
- Violates the privacy of others without their consent
7. Prohibited Conduct
You agree not to:
- Use the service for any unlawful purpose
- Attempt to gain unauthorized access to other accounts or Memaday systems
- Scrape, crawl, or use automated tools to access the service
- Reverse engineer, decompile, or disassemble any part of the service
- Interfere with or disrupt the service or its infrastructure
- Resell, sublicense, or redistribute access to the service
8. Subscriptions and Billing
Memaday may offer paid subscription plans with additional features. Web payments may be processed by Stripe, and iOS payments may be processed by Apple through the App Store.
- Subscriptions automatically renew at the end of each billing period unless canceled
- Web subscriptions may be managed through Memaday account settings; App Store subscriptions must be managed through Apple subscription settings
- Deleting your Memaday account does not cancel an App Store subscription, which continues until you cancel it with Apple
- Refunds are generally not provided for partial billing periods, except where required by law
- We reserve the right to change pricing with reasonable advance notice
9. Termination
A signed-in household owner may delete their account at any time through Settings > Delete account. The app shows what will be deleted, requires recent sign-in verification, an acknowledgement, and typed confirmation. Viewers cannot delete a household.
All household owners are equal. If another owner remains, deleting your account removes your sign-in, profile, reminder settings, and identifying attribution, but the shared household journal remains for the other owner or owners. If you are the last owner, deleting your account also permanently deletes the household journal, media, invitations, share links, and viewer access.
We may suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to other users or the service. Upon termination, your right to use the service ceases immediately. Data is deleted or retained according to the ownership scope, limited operational-retention periods, provider-controlled records, and legal-hold exceptions described in our Privacy Policy.
If account deletion repeatedly pauses or the in-app flow is unavailable, contact support@memaday.com. Do not send passwords or provider authorization credentials by email.
10. Intellectual Property
Memaday and its original content (excluding user content), features, and functionality are owned by Memaday and protected by copyright, trademark, and other intellectual property laws. You may not use the Memaday name, logo, or branding without prior written permission.
11. Disclaimers
Memaday is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will be uninterrupted, secure, or error-free.
12. Limitation of Liability
To the maximum extent permitted by law, Memaday and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of the service. Our total liability for any claim arising from these Terms or the service shall not exceed the amount you paid to Memaday in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Memaday, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the service, your content, or your violation of these Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of the State of Delaware.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-app notification at least 30 days before the changes take effect. Your continued use of Memaday after changes take effect constitutes acceptance of the updated Terms.
